Terms of Service
Last updated
1. This agreement
These Terms of Service (“Terms”) are a contract between you and Swifolio (“Swifolio”, “we”, “us”). They cover swifolio.com, Swifolio Pro, the Swifolio MCP server and API, and everything else we offer (together, the “Service”). The Code License, Privacy Policy, Refund & Cancellation Policy and Copyright & DMCA Policy are part of these Terms.
By signing in, subscribing, or using the Service, you agree to these Terms. If you don’t agree, don’t use the Service. Section 15 has a binding arbitration agreement and a class-action waiver that affect how disputes are resolved. Please read it; you can opt out of it within 30 days.
If you use the Service for a company or other organisation, you agree to these Terms on its behalf and confirm you have authority to do so; “you” then means both you and that organisation.
2. Accounts and eligibility
- You must be at least 13 years old, or at least 16 if you live in the European Economic Area or the United Kingdom. If you are under the age of majority where you live, you may only use the Service with the permission of a parent or guardian, who must agree to these Terms and make any purchase.
- You may not use the Service if you are barred from doing so under applicable law, including US sanctions and export laws.
- You sign in with a Google or GitHub account. Keep that account secure; you are responsible for everything that happens under your Swifolio account. Tell us at once at [email protected] if you think someone else has used it.
- One account per person. Accounts, subscriptions, API keys and connected AI tools are personal and may not be shared, sold or transferred.
- An account can be signed in on up to 3 browsers or devices at once. Signing in on another signs the oldest one out.
3. Pro subscriptions and billing
Browsing is free. Swifolio Pro is a paid subscription that unlocks full source code, .zip downloads and the Swifolio MCP. It currently costs $9.99 per month or $99 per year, plus any applicable taxes. Payments are processed by Stripe; we never see or store your full card number.
Automatic renewal. Your subscription renews automatically at the end of each billing period (monthly or yearly, as you chose) and your payment method is charged the then-current price, until you cancel. You can cancel at any time in Settings → Billing, which opens our billing portal, or by emailing [email protected]. Cancelling stops future renewals; you keep Pro until the end of the period you’ve already paid for.
- Price changes. We may change Pro’s price. If we do, we will email you at least 30 days before the change applies to you, and it takes effect at your next renewal after that notice. If you don’t want to pay the new price, cancel before that renewal.
- Failed payments. If a payment fails, Stripe may retry it. If we can’t collect payment, Pro access may be suspended or ended.
- Plan changes. Switching between monthly and yearly is done in the billing portal; Stripe works out any proration.
- Trials and promotions. If we offer a free trial or discount, the terms shown with that offer apply. Unless you cancel before a trial ends, the subscription starts and renews as described above.
- Refunds. Because code is delivered the moment you subscribe, payments are generally non-refundable except as our Refund & Cancellation Policy or the law says.
- Changes to Pro. We add, update and sometimes retire designs and features. We won’t materially reduce what Pro includes during a period you’ve paid for without offering you a prorated refund.
4. Our content and your license
The Service, including every design, its source code, recordings, previews, descriptions, the catalogue, the MCP, our software and the Swifolio name and logo, is owned by Swifolio or its licensors and protected by copyright, trademark and other laws. We do not sell you the code; we license it. What you may do with it is set out in the Code License, which is part of these Terms. All rights not expressly granted are reserved.
5. Acceptable use
You agree not to, and not to help anyone else to:
- scrape, crawl, spider, mirror or bulk-download the Service or the library, or collect its code, recordings or data by automated means, except through the MCP as described in Section 6;
- access the Service, or download or fetch code, with scripts, bots, scrapers, crawlers, headless browsers or other automated tools, or harvest code in bulk through the MCP or API (for example by calling it over the catalogue, or faster than an AI tool helping one person build would);
- remove, alter or obscure a license header or any other mark that identifies the account a copy of our code was licensed to, in order to hide where a copy came from or to pass it on (deleting the header comment from code inside your own app is fine);
- redistribute, resell, sublicense or publish our code or content except as the Code License allows, or use it to build a competing design library, template marketplace or code-snippet service;
- use the Service or its content to train, fine-tune or evaluate machine-learning models, or to build datasets, other than an AI assistant reading code while helping you build your own app;
- share your account, sign-in, downloads, API keys or MCP connections with anyone else, or let others use the Service through them;
- get around paywalls, access checks, rate limits or other technical limits, or reverse engineer the Service except where the law allows it despite this restriction;
- probe, scan or test the Service’s security without our written permission, interfere with its operation, or send malware, spam or excessive traffic;
- use the Service to break the law, infringe anyone’s rights, or harass, deceive or harm anyone;
- impersonate anyone, or misrepresent your connection to Swifolio.
If you find a security problem, please report it to [email protected] rather than exploiting it.
Fair use and download limits
Pro is for one person building their own apps. Opening a design’s code, downloading it as a .zip and fetching it through the MCP have fair-use limits, counted together, on how many different designs you can get in a day and in a month. They are set well above what one person building apps uses, and we may change them at any time. Past a limit, or when use looks automated, shared or like bulk export, we may slow down or pause the delivery of new code until the limit resets or we’ve reviewed the account. Designs you already have aren’t affected.
Watermarked code
Every copy of code we deliver to you, through the code tab, a .zip or the MCP, is marked as licensed to your account: each file starts with a license header naming your account number, and the copy carries other marks, some not visible, that are unique to your account and let us identify it if it turns up elsewhere. The marks never change how the code compiles or runs. You agree to this marking, and to our keeping a record of which marks went to which account so we can enforce these Terms and the Code License. Removing or altering the marks doesn’t make a copy any less licensed to you, or you any less responsible for it.
Redistribution: agreed damages and legal fees
If you redistribute, sublicense or make available our code in breach of these Terms or the Code License, including by publishing it, selling it, sharing it or letting others download it, you agree to pay us, as liquidated damages, the greater of (a) our actual damages or (b) US$500 for each design redistributed, sublicensed or made available. You and we agree that the harm such a breach causes is real but hard to measure when we make this agreement, because a design that gets out can be copied without limit, out of our sight. US$500 per design is our reasonable pre-estimate of that loss, not a penalty. It reflects the subscription revenue lost to people who get the code without paying for it, what it costs us to find, document and remove copies and to enforce our rights, and the harm to the exclusivity that makes Pro worth paying for.
In any action or arbitration over a breach of the Code License or these Terms’ restrictions on our code and content, or over infringement or misuse of our intellectual property, the prevailing party may recover its reasonable attorneys’ fees and costs from the other, in addition to any other relief. None of this limits our right to an injunction or other equitable relief, or to suspend or end your account under Section 9.
6. The MCP server and API
- Pro includes access to the Swifolio MCP server so an AI tool you choose (for example Claude, ChatGPT or Cursor) can search the catalogue and fetch code for you while you build. You connect it with a personal API key or by approving it through our sign-in and consent screen.
- Keys are personal. API keys and approved connections are for your own use. Don’t share, publish or embed them in software others use. You are responsible for activity through your keys and connections; revoke them in Settings → API keys if they leak.
- Rate limits. We set rate limits and other usage limits, and may change them at any time to keep the Service fair and stable. Usage patterns that look like scraping or bulk export, rather than an AI tool helping one person build, may be throttled, suspended or ended.
- No bulk export. You may not use the MCP or API to download, cache or export the library, or large parts of it, for storage, redistribution or training.
- Your AI tool. Your AI tool is a third-party service under its provider’s own terms and privacy policy. It acts on your instructions; we don’t control it and aren’t responsible for its output. Code it produces from our code is covered by the Code License.
- We may change, limit or discontinue the MCP or API, including its tools and how it authenticates.
7. Your content and feedback
Your account may hold things you create, such as saved designs, names you give API keys, and anything you send us (together, “your content”). You keep ownership of your content. You give us a worldwide, non-exclusive, royalty-free license to store, process and display it only as needed to run the Service for you. If we add features for public content, such as reviews or comments, you also let us display what you post publicly for as long as it’s on the Service, and you confirm you have the right to post it.
If you send us ideas, suggestions or feedback, we may use them freely, without any obligation to you.
8. Third-party services and trademarks
The Service relies on third parties, including Google and GitHub for sign-in, Stripe for payments and Cloudflare for delivery and security. Their terms apply to your use of their services, and we aren’t responsible for them.
Swifolio is not affiliated with, endorsed by or sponsored by Apple Inc. Apple, iPhone, iPad, Mac, Apple Watch, Apple Vision Pro, Swift, SwiftUI, Xcode, SF Symbols and App Store are trademarks of Apple Inc., registered in the U.S. and other countries. Claude is a trademark of Anthropic, ChatGPT of OpenAI and Cursor of Anysphere. Many designs are original SwiftUI recreations “inspired by” other apps for education and inspiration; the names of those apps and brands are used only to describe what inspired a design, and every trademark belongs to its owner. We are not affiliated with or endorsed by any of them. See the Copyright & DMCA Policy.
9. Suspension and termination
- You may stop using the Service at any time. To close your account, email us from the address you sign in with.
- We may suspend or end your access, with or without notice, if you breach these Terms or the Code License, if your use creates risk or legal exposure for us or others, if we must by law, or if we stop offering the Service. If we end your access without cause, we will refund the unused part of any prepaid period.
- Immediate termination. We may suspend or end your account immediately, without notice and without any refund, if we reasonably believe you have scraped the Service, accessed it or downloaded code by automated means, harvested code in bulk through the MCP or API, shared your account, keys or downloads, or redistributed, sublicensed or made available our code in breach of the Code License.
- If we terminate for your breach, you aren’t entitled to a refund, and your Code License ends as the Code License describes. Section 5’s agreed damages and legal fees still apply.
- Sections that by their nature should survive (including 4, 5, 7 and 10 to 17, and the Code License’s terms for code you already have) survive termination.
10. Disclaimers
THE SERVICE AND ALL DESIGNS, CODE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND QUIET ENJOYMENT, TO THE FULLEST EXTENT THE LAW ALLOWS.
In particular, we don’t promise that:
- any code is free of bugs, security issues or performance problems, or will compile or behave the same on every OS version or device;
- an app built with our code will be approved by Apple’s App Review or any other store, or will meet any store’s guidelines;
- a design that recreates or is inspired by another app is free of third-party trademark, trade dress or design rights in the way you use it. Before shipping, you are responsible for replacing names, logos, icons, artwork and any distinctive look that belongs to someone else;
- the Service will be uninterrupted, secure or always available, or that any particular design will stay in the library;
- anything an AI tool produces through the MCP is correct, safe or suitable.
You are responsible for reviewing, testing and securing any code before you ship it. Some places don’t allow certain warranties to be excluded, so some of these exclusions may not apply to you.
11. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS: (A) SWIFOLIO AND ITS OWNERS, CONTRACTORS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED THEY WERE POSSIBLE; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US$50 IF YOU PAID NOTHING.
These limits apply whatever the legal theory (contract, tort including negligence, statute or otherwise) and even if a remedy fails of its essential purpose. They don’t limit liability that can’t be limited by law, such as for fraud, or, where the law requires it, for death or personal injury caused by negligence, or for gross negligence or wilful misconduct.
12. Indemnity
To the extent the law allows, you will defend, indemnify and hold harmless Swifolio and its owners, contractors and licensors from any claims, losses, damages, liabilities and costs (including reasonable legal fees) arising from: (a) apps or other products you build, ship or sell, including with our code; (b) your content; (c) your breach of these Terms or the Code License; or (d) your violation of any law or anyone else’s rights, including trademark, trade dress or privacy rights. We will tell you about any such claim and may choose to control its defense, in which case you will cooperate with us.
13. Changes to these Terms
We may update these Terms. If a change is material, we will tell you by email or on the Service at least 14 days before it takes effect, unless it’s required sooner by law or to address a security issue. The “Last updated” date shows the current version. If you keep using the Service after a change takes effect, you accept the updated Terms; if you don’t agree, stop using the Service and cancel Pro. Changes to Section 15 are covered there.
14. Governing law and courts
These Terms are governed by the laws of the state in which Swifolio is established and applicable US federal law, without regard to conflict-of-law rules; the Federal Arbitration Act governs Section 15. For any dispute not subject to arbitration, you and we agree to the exclusive jurisdiction of the state and federal courts located in the county in which Swifolio is established, the state in which Swifolio is established, except that either of us may bring a claim in small-claims court as Section 15 allows. If you are a consumer in the EEA, the UK or another country whose laws give you protections that can’t be waived by contract, nothing in these Terms takes those protections away, and you may also be able to bring proceedings in the courts where you live.
15. Dispute resolution: binding arbitration and class-action waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND US TO RESOLVE MOST DISPUTES BY BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT, AND IT WAIVES YOUR RIGHT TO A JURY TRIAL AND TO TAKE PART IN A CLASS ACTION. YOU CAN OPT OUT AS EXPLAINED BELOW.
Talk to us first
Before starting arbitration or a court case, the party with a dispute must send the other a written notice describing it and the relief sought: to us at [email protected] and the mailing address we provide on request to [email protected], or to you at the email on your account. We’ll both try in good faith to resolve it for 60 days. Any deadline for bringing the claim is paused during that time.
Arbitration
If we can’t resolve it, any dispute, claim or controversy arising out of or relating to these Terms or the Service (a “Dispute”) will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect (available at adr.org), as modified by this section. A single arbitrator decides the Dispute. The arbitrator, not a court, decides questions about the scope, validity and enforceability of this arbitration agreement, except that a court decides questions about the class-action waiver and the mass-arbitration terms below.
- Where and how. Unless you and we agree otherwise, hearings take place by video or phone, or in person in the county where you live if the arbitrator requires an in-person hearing. Claims of US$10,000 or less may be decided on written submissions alone, at the claimant’s choice.
- Costs. Filing and arbitrator fees are paid as the AAA’s consumer fee schedule provides. If you show that those fees would be prohibitive compared with litigation, we will pay as much of them as the arbitrator finds necessary to prevent that. Each side pays its own lawyers unless Section 5 (for breaches of the Code License and misuse of our intellectual property), the rules or applicable law allow the arbitrator to award fees.
- Relief. The arbitrator may award any individual relief a court could, including injunctive or declaratory relief only in favour of the individual claimant and only as far as needed for that claimant’s individual claim. The award is final and any court with jurisdiction may enter judgment on it.
Exceptions
- Either of us may bring an individual claim in small-claims court if it qualifies and stays there.
- Either of us may go to court to stop actual or threatened infringement, misappropriation or misuse of intellectual property, including use or redistribution of our code beyond the Code License, scraping and bulk downloading, and to seek injunctive or other equitable relief for it. The attorneys’ fees terms in Section 5 apply there too.
Class-action and jury waiver
You and we may each bring claims against the other only in an individual capacity, not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any form of class or representative proceeding. You and we each waive the right to a jury trial. If this class-action waiver is found unenforceable for a particular claim or remedy, that claim or remedy (and only that one) will be severed and decided by a court under Section 14, after any arbitrable claims are decided, and will not be arbitrated on a class basis.
Mass arbitration
If 25 or more similar claims are filed against us by the same or coordinated counsel, they will be administered in batches of up to 25 claims each, one batch at a time, with a single arbitrator per batch, under the AAA’s Mass Arbitration Supplementary Rules where they apply. Any deadline for bringing a claim is paused for claims waiting in a later batch.
Opting out
You can opt out of this arbitration agreement by emailing [email protected] with the subject “Arbitration opt-out”, from the address you sign in with, within 30 days of first agreeing to these Terms. Include your name and that address, and say you want to opt out of arbitration. You may also mail the same information to the mailing address we provide on request to [email protected]. Opting out doesn’t affect anything else in these Terms. If you opted out of an earlier version of this section, that choice still applies.
Changes to this section
If we make a material change to this section, it won’t apply to a Dispute you already notified us of. You can reject the change by emailing us within 30 days of it taking effect; this section as it was before the change will then keep applying to you.
Time limit
To the extent the law allows, any claim must be brought within one year after it arises; otherwise it is permanently barred.
16. General
- Entire agreement. These Terms, with the policies they include, are the whole agreement between you and us about the Service and replace any earlier agreements about it.
- Severability. If any part is found unenforceable, it is enforced as far as possible and the rest stays in effect.
- No waiver. Not enforcing a right right away doesn’t waive it.
- Assignment. You may not transfer these Terms or your account. We may transfer them, for example to a company that takes over Swifolio, a merger or a sale of assets.
- Force majeure. We aren’t responsible for delays or failures caused by events beyond our reasonable control.
- Notices and electronic communications. We may send you notices by email or on the Service. You agree that agreements, notices and other communications we provide electronically satisfy any legal requirement that they be in writing.
- Relationship. Nothing in these Terms creates a partnership, employment, agency or joint venture.
- Export. You will comply with US export and sanctions laws in using the Service and our code.
- California users. Under California Civil Code §1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.
